Board Committees

The Board of Governors is supported by a committee structure that enables detailed scrutiny, informed discussion and effective oversight across the College’s governance framework. Operating under delegated authority and approved Terms of Reference, each committee undertakes detailed consideration of matters within its remit before providing assurance, recommendations or decisions in accordance with the Scheme of Delegation.

This committee structure enables the Board to focus on strategic leadership while ensuring that academic quality, institutional performance, financial sustainability, organisational risk, student outcomes and governance effectiveness receive appropriate scrutiny and independent challenge.

Together, the committees form an integrated assurance framework that supports evidence-informed decision-making, accountability and continuous institutional improvement.

Committee Structure

The Board is supported by the following standing committees and governance bodies.

• Academic Board

The Academic Board is the College’s principal academic authority and provides leadership and oversight of academic standards, academic quality, learning and teaching, assessment, curriculum development and student outcomes. It advises the Board of Governors on all matters relating to academic governance and provides assurance that academic provision continues to meet institutional and regulatory expectations.

• Audit and Risk Committee

The Audit and Risk Committee supports the Board in overseeing institutional risk, internal control, compliance, assurance and the effectiveness of the College’s risk management framework. It provides independent scrutiny of governance and organisational resilience while monitoring the effectiveness of internal assurance arrangements.

• Academic Quality and Enhancement Committee

The Academic Quality and Enhancement Committee oversees the effectiveness of the College’s quality assurance and enhancement arrangements. It monitors programme quality, student outcomes, annual monitoring, regulatory compliance and enhancement activity, providing assurance and recommendations to the Academic Board on matters relating to academic quality.

• Student Experience and Engagement Committee

The Student Experience and Engagement Committee oversees the quality of the student experience across the College. It monitors student engagement, representation, wellbeing, equality of opportunity, academic support and student services, ensuring that student perspectives inform institutional decision-making and enhancement activities.

• Remuneration and Senior Appointments Committee

The Remuneration and Senior Appointments Committee oversees senior appointments, remuneration, succession planning and executive performance. The Committee supports good governance by promoting transparency, fairness and accountability in relation to senior leadership appointments and reward.

• Executive and Operational Leadership Team

Although not a committee of the Board, the Executive and Operational Leadership Team plays a central role in the governance framework by implementing Board decisions, delivering institutional strategy and managing the day-to-day operation of the College. The Executive provides regular reports, performance information and assurance to the Board, the Academic Board and Board committees, enabling effective oversight across academic, operational and corporate activities.

• Committee Reporting and Assurance

Each committee operates within clearly defined Terms of Reference and reports through established governance arrangements.

Committees receive management information, scrutinise institutional performance, monitor progress against strategic priorities and evaluate matters within their delegated responsibilities before providing assurance or recommendations to the appropriate governance body.

This reporting framework ensures that:

• matters receive appropriate scrutiny before strategic decisions are taken;
• risks, opportunities and emerging issues are identified at an early stage;
• governance decisions are informed by reliable evidence and objective analysis;
• academic and operational assurance is provided through appropriate governance channels; and
• the Board receives comprehensive assurance regarding institutional performance and regulatory compliance.

• Periodic Review

The Board reviews its committee structure periodically to ensure that governance arrangements remain proportionate, effective and aligned with the College’s strategic priorities, organisational development and regulatory responsibilities.

Committee Terms of Reference, delegated authority and reporting arrangements are reviewed regularly to ensure that governance continues to support effective oversight, robust assurance and continuous institutional improvement.

Through this committee structure, the Board maintains effective strategic oversight while ensuring that detailed scrutiny, independent challenge and specialist expertise contribute to the governance of City of London College and the achievement of positive outcomes for students.
